Terms of Service

These Terms of Service (“Terms”) constitute a binding legal agreement between you (“you” or “Account Holder”) and Innovenses Pty Ltd ACN 000 000 000 (“Docent”, “we”, “us”, or “our”), the operator of the Docent platform available at docent.academy and related applications. By accessing or using the Service you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

1. Acceptance of Terms

By creating an account, clicking “I agree”, or by using any feature of the Service, you accept these Terms in full on behalf of yourself and, where applicable, on behalf of the students enrolled under your account. You must be at least 18 years of age to create an account; the Service is not available directly to persons under 18, and all student accounts must be created and supervised by a parent or legal guardian who is the Account Holder. If you are accessing the Service on behalf of a school, educational institution, or other organisation, you further represent that you have the authority to bind that organisation to these Terms. Continued use of the Service after we publish updated Terms constitutes acceptance of those updates.

2. Service Description

Docent is an AI-powered voice tutoring platform designed to support home education and supplementary learning for students in Grades 1 through 12. The Service includes an AI voice tutor, curriculum-aligned lesson generation, adaptive mastery tracking, compliance document generation for home-education registration, exam preparation tools, and a parent dashboard, all delivered via a subscription-based model. Content is aligned to recognised curriculum authorities including the Australian Curriculum (ACARA), NESA, VCAA, the UK National Curriculum, US Common Core State Standards, NCERT/NIOS (India), CAPS (South Africa), and international Cambridge and IB frameworks. We reserve the right to add, modify, or remove features of the Service at any time with reasonable notice to subscribers, provided that material reductions to core functionality on paid tiers will be accompanied by a pro-rata credit or refund where required by applicable law.

3. Subscription and Payment

Paid subscriptions are offered on monthly and annual billing cycles at the rates listed on our pricing page, which may vary by country and include applicable taxes such as GST (Australia), VAT (UK/EU), and other jurisdiction-specific levies. Subscriptions auto-renew at the end of each billing period unless you cancel before the renewal date; you can cancel at any time via your account dashboard or by contacting support@docent.academy, and access to paid features will continue until the end of the then-current billing period. We do not provide refunds for partial months or unused time, except where required by the Australian Consumer Law (ACL), the UK Consumer Rights Act 2015, or other applicable mandatory consumer protection legislation in your jurisdiction. We may update pricing on 30 days’ notice; if you do not accept the new pricing you may cancel before the renewal date to avoid being charged at the new rate.

4. Acceptable Use

You agree to use the Service only for its intended educational purposes and in compliance with all applicable laws. Specifically, you must not: (a) share account credentials or permit any person other than the registered parent or guardian and the enrolled student(s) to use your account; (b) allow a student account to be used by more than one individual student; (c) use automated scripts, bots, scrapers, or other tools to access the Service in a manner that is not authorised or that places unreasonable load on our systems; (d) attempt to extract, reverse-engineer, or reproduce system prompts, voice models, curriculum content, or any other proprietary component of the Service; (e) submit inputs to the AI tutor that are designed to elicit unsafe, harmful, or policy-violating responses (including jailbreak attempts); or (f) resell, sublicense, or otherwise commercialise access to the Service without a written B2B partnership agreement with Docent. We may suspend or terminate accounts that violate this section, with prior notice except in safeguarding emergencies.

5. Intellectual Property

All content, software, designs, trademarks, logos, lesson plans, compliance document templates, worksheet question banks, visual generators, and other materials made available through the Service are the proprietary property of Docent or its licensors and are protected by copyright, trade mark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service and its outputs solely for your own personal, non-commercial home education purposes (or, for B2B customers, for use within your registered institution). Content you submit to the Service — including voice recordings, written work samples, and other student-generated materials — remains your property; you grant us a limited licence to process and store such content solely to provide the Service to you. We may use fully anonymised and aggregated learning data (stripped of all personal identifiers) to improve our AI models and Service quality; we will never sell identified student data to third parties. ACARA curriculum content is used under a Creative Commons Attribution 4.0 International licence (CC BY 4.0); other curriculum frameworks are referenced or paraphrased under their respective licences.

6. Privacy and Data

Our collection, use, storage, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms. As the Account Holder, you provide parental or guardian consent on behalf of any student under 18 enrolled on your account; you must ensure that your use of the Service on behalf of a minor complies with the applicable child data protection laws in your jurisdiction, including COPPA (US), GDPR Article 8 (UK/EU), the Digital Personal Data Protection Act 2023 (India), and the Australian Privacy Act 1988. We process personal data in accordance with the relevant framework for your region (AU: Privacy Act; UK/EU: UK GDPR; US: FERPA/COPPA; India: DPDP; South Africa: POPIA), and the jurisdictional data processing annex applicable to your region is incorporated into these Terms by reference. Data residency options and transfer safeguards are described in the Privacy Policy; by default, AU/NZ data is processed in ap-southeast-2 (Sydney) and UK/EU data in eu-west-2 (London).

7. AI Tutor Limitations

The Docent AI tutor is designed to provide educational guidance and curriculum-aligned learning support; it does not constitute professional advice of any kind, including legal, medical, psychological, or therapeutic advice, and should not be relied upon as a substitute for such advice. While we strive for accuracy, AI-generated content — including lesson explanations, worksheet questions, compliance document drafts, and exam preparation materials — may contain errors or inaccuracies; parents and guardians are responsible for reviewing AI-generated compliance documents before signing or submitting them to any authority, and for verifying that lesson content is appropriate and accurate for their child. The AI tutor is not a substitute for professional learning support services, specialist intervention for students with learning disabilities, or medical or mental health advice; where a student has identified special educational needs we recommend using Docent as a supplement to, not a replacement for, professional support. Docent is also not a registered school and completing the Service does not in itself satisfy any compulsory schooling obligation; you remain responsible for complying with the home education registration and reporting requirements of your jurisdiction.

8. Safety

We operate a multi-layer AI safety pipeline that runs in parallel with the AI tutor on every student utterance; this pipeline detects content related to self-harm, abuse, bullying, distress, and other safeguarding concerns. When a HIGH-severity safety event is detected, the tutor response is halted, you as the Account Holder are notified, and the jurisdiction-specific emergency helpline is surfaced to the student; for B2B accounts, the school’s Designated Safeguarding Lead is also notified in accordance with your institution’s safeguarding policy. By creating an account and enrolling students, you expressly authorise this notification and referral process. We are not liable for any harm arising from a student’s actions based on AI tutor outputs, nor for any failure to detect every harmful input; our safety system provides a reasonable layer of protection but is not infallible, and parental supervision remains the primary safeguard.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law. We do not guarantee specific learning outcomes, academic improvement, or examination results for any student. AI-generated content, including compliance documents, lesson plans, worksheets, and NAPLAN band estimates, is produced algorithmically and may not be accurate; VRQA, NESA, IHIP, and other compliance documents are draft outputs that require parent review and must not be submitted to an authority without your own verification that they are complete and accurate. We aim for 99.5% monthly availability on paid tiers but do not guarantee uninterrupted service; outages of third-party providers (including Anthropic, Groq, and xAI) are outside our control and may temporarily degrade the voice tutoring experience.

10. Limitation of Liability

To the maximum extent permitted by the Australian Consumer Law and other applicable law, Docent’s total aggregate liability to you for any claim arising out of or in connection with the Service (whether in contract, tort including negligence, statute, or otherwise) is limited to the total subscription fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of revenue, loss of opportunity, or loss of educational outcomes, even if we have been advised of the possibility of such damages. Nothing in these Terms excludes or limits our liability for fraud, wilful misconduct, death or personal injury caused by our negligence, or any other liability that cannot be lawfully excluded. Nothing in these Terms limits any non-excludable consumer guarantee rights you have under the ACL, the UK Consumer Rights Act 2015, or equivalent mandatory consumer protection legislation in your jurisdiction.

11. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria for the resolution of any dispute. Where you are located outside Australia, mandatory local consumer protection laws (including the UK Consumer Rights Act 2015, EU consumer directives, US state consumer protection statutes, India’s Consumer Protection Act 2019, and South Africa’s Consumer Protection Act 68 of 2008) apply in addition to and are not displaced by these Terms. If any provision of these Terms is held to be unenforceable, the remaining provisions will continue in full force and effect.

13. Changes to These Terms

These Terms were last updated in June 2026. We will notify all active Account Holders by email at least 30 days before any material changes to these Terms take effect; the updated Terms will be published at docent.academy/terms with a revised “Last updated” date. Non-material changes (such as corrections of typographical errors, clarifications that do not alter your rights or obligations, or updates required by law) may take effect immediately. If you object to any material change, your remedy is to cancel your subscription before the effective date of the change.
